By accessing or using our platform, you agree to comply with and be bound by the following Terms of Service. Please read these terms carefully, as they govern your use of our services.

1. Acceptance of Terms

By using the Kontorva platform, you agree to be bound by these Terms of Service and all other policies, guidelines, or standards provided by Kontorva OÜ. If you do not agree to these terms, you must discontinue your use of our services.

2. Services Provided

Kontorva offers managed remote software development teams and custom software development services. These services are offered on a subscription basis or through project-based contracts. All services provided are subject to the scope, terms, and fees outlined in specific agreements between KontorVA and the client.

3. User Accounts

You are required to create an account to access our services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Kontorva reserves the right to terminate or suspend accounts in cases of misuse or violation of these Terms of Service.

4. User Conduct

You agree not to use Kontorva for any unlawful purpose or any activity that may disrupt or interfere with the proper operation of the platform. Prohibited activities include, but are not limited to:

Submitting false or misleading information
Violating intellectual property rights
Attempting to hack or breach security measures
Engaging in fraudulent or harmful behavior

5. Payment and Fees

All fees for Kontorva services are outlined in the relevant contract or subscription agreement. Payments must be made according to the payment schedule specified. Kontorva reserves the right to suspend services for non-payment or late payments.

6. Project Timelines and Delivery

For custom software development services, project timelines and delivery schedules will be outlined in the contract. Kontorva will make every reasonable effort to meet deadlines but is not liable for delays caused by factors beyond its control, such as client dependencies or third-party issues.

7. Intellectual Property

All software, code, documentation, and materials developed by Kontorva during the course of providing services will remain the intellectual property of KontorVA unless otherwise agreed in writing. The client will receive the necessary licenses to use the deliverables for its intended purposes.

8. Confidentiality

Kontorva and the client agree to maintain the confidentiality of proprietary or sensitive information shared during the course of the project. Neither party may disclose such information to third parties without written consent from the other party.

9. Termination

Either party may terminate the service agreement with prior notice as specified in the relevant contract. Kontorva reserves the right to terminate access to its platform or services for violations of these Terms of Service or other applicable policies.

10. Limitation of Liability

To the maximum extent permitted by law, Kontorva will not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the platform or services, including but not limited to data loss, service interruptions, or errors.

11. Warranties and Disclaimers

Kontorva provides its platform and services “as is” and without warranties of any kind, express or implied, except as specifically outlined in a contract. We do not guarantee that our services will be uninterrupted, secure, or error-free.

12. Modifications to Terms

Kontorva reserves the right to modify these Terms of Service at any time. Any changes will be posted on our website, and continued use of the platform constitutes acceptance of the updated terms.

13. Governing Law

These Terms of Service will be governed by and construed in accordance with the laws of Estonia. Any disputes arising from the use of Kontorva or these Terms of Service will be subject to the exclusive jurisdiction of the Estonian courts.
